To update your registered office address, you'll need to prepare and submit the following documents:
- Certified Copy of the EGM Notice
A certified true copy of the Notice of the Extra-Ordinary General Meeting (EGM). - Certified Resolution Copy
A certified true copy of the resolution passed during the EGM. - EGM Minutes
The minutes recorded from the EGM. - Newspaper Advertisement
A copy of the newspaper advertisement announcing the address change. - Amended MOA
A copy of the altered Memorandum of Association (MOA). - Affidavit
An affidavit confirming the application details. - Creditors and Debenture Holders List
A list of creditors and debenture holders eligible to raise objections. - Declarations
Declarations from the Key Managerial Personnel and two directors confirming no default in payments to workmen.
Regional Director Confirmation
The Regional Director will provide confirmation within 30 days of receiving the application.
Filing Requirements
Once the confirmation is received, file Form INC-22 with the Registrar of Companies within 15 days of the Regional Director's order. Attach the following documents:
- Proof of Registered Office Address
A copy of the registered office address proof, such as a conveyance deed, lease agreement, or rent agreement. - Utility Bills
Copies of utility bills not older than 2 months. - NOC from Owner
A No Objection Certificate (NOC) from the property owner for using the premises.
Office Relocation Between States or ROC Jurisdictions
For changes in the registered office from one state to another or between ROC jurisdictions:
- Board Meeting
Schedule a board meeting to set the date, time, and venue for the EGM. - EGM
Convene the EGM and pass the special resolution. - Newspaper Notice
Publish a notice in the newspaper regarding the change. - Form MGT-14 Filing
File Form MGT-14 within 30 days of passing the special resolution.

Documentation reflecting changes to the MOA. - Altered AOA
Documentation reflecting changes to the Articles of Association (AOA).
