A Limited Liability Partnership (LLP) is a business structure where the partners' liability is restricted to their investment in the LLP. This means that each partner's personal assets are protected and they are only responsible for the business's debts up to the amount they have invested.

Governed by the Limited Liability Partnership Act of 2008, an LLP stands as an independent legal entity. This ensures that the LLP can own assets, incur liabilities, and operate separately from its partners. To establish an LLP, at least two designated partners are required, who will manage and oversee the operations of the LLP.

The registration process involves several steps:

  1. Obtain a Digital Signature Certificate (DSC).
  2. Acquire a Designated Partner Identification Number (DPIN).
  3. Choose a unique name for the LLP.
  4. Submit the incorporation documents to the Ministry of Corporate Affairs (MCA).

In a Limited Liability Partnership (LLP), the liability of partners is restricted to the amount of their investment in the business. This means their personal assets are safeguarded and they are not responsible for the business's debts or losses. Audit Obligations: An audit is necessary for LLPs with an annual turnover exceeding Rs. 40 lakhs or a capital contribution surpassing Rs. 25 lakhs.

Statutory Compliance: LLPs are required to meet various statutory obligations, including the filing of annual returns, maintaining accurate financial records, and conducting audits as mandated.

Step 1:

First, the designated partners need to obtain a Digital Signature Certificate (DSC).

Step 2:

Next, apply for a Director Identification Number (DIN).

Step 3:

Reserve your LLP’s name by completing the LLP-Reserve Unique Name (LLP-RUN) form. Submit this form to the Central Registration Centre. It's advisable to verify the name's availability on the MCA portal before submission.

Step 4:

Proceed with the LLP incorporation:

  • Submit the incorporation form along with necessary documents to the State Registrar.
  • Pay the registration fee as outlined in Annexure A.
  • If the designated partner does not yet have a DIN or DPIN, they should use the form provided to register for these numbers. Note that only two individuals can apply for DIN/DPIN.
  • You can also make the reservation application via FiLLiP.
  • Once the name is approved, it can be included in the registration form.

Step 5:

Finalize your LLP by submitting the LLP agreement. This document outlines the rights and responsibilities of the LLP and its partners.
