Resignation or Removal of Partner

A Partner in a Limited Liability Partnership (LLP) may no longer be a partner as per the terms of the LLP agreement. In the absence of any restrictions in the agreement, a Partner can resign by providing written notice of resignation to the other Partners at least 30 days in advance.

In certain situations, a LLP Partner will automatically cease to be a Partner in the LLP:

  • Upon the Partner's death
  • Upon the dissolution of the LLP
  • If the Partner is declared mentally unfit
  • If the Partner is declared insolvent.

A Partner in a LLP will continue to be considered a Partner unless written notification of resignation is received by the other Partners or a notice is submitted to the Registrar.

Partner's Rights and Obligations upon Departure or Resignation.

When a Partner of the LLP ceases to be a Partner due to death or insolvency, they are entitled to the following from the LLP:

  • The LLP will provide the former partner with an amount equal to their capital contribution that was actually made.
  • The former partner will have rights to share in the accumulated profits of the LLP after deducting any accumulated losses, as determined on the date they cease to be a Partner.

Additionally, a Partner in a LLP has the option to transfer their right to share in the profits and losses of the LLP and receive distribution in accordance with the LLP Agreement. If a Partner is removed, resigns, or ceases to be a Partner in the LLP, the LLP partnership agreement may have different provisions regarding the rights of the outgoing Partner.

to note that any liabilities incurred while the person was a Partner in the LLP will not be discharged and will continue even after their removal, resignation, or cessation as a Partner.

Removal of an LLP Partner by the Majority's Choice.

A Partner in a Limited Liability Partnership (LLP) cannot be removed by a majority of the other Partners unless the LLP agreement expressly provides such powers. If the LLP Agreement provides such power, a Partner can be removed and Form 4 must be filed to effect the removal.

LLP Form 4 Submission

In order to carry out the process of resigning, removing, or ceasing a partner from an LLP, it is necessary to submit LLP Form 4 within 30 days of the partner's departure. This form must be signed by a Designated Partner of the LLP and accompanied by a Certificate from a practicing Chartered Accountant, Company Secretary, or Cost Accountant. The certification should confirm the accuracy and authenticity of the LLP's books and records.
